An S Corporation does NOT allow for foreign owner/investors. Here are some frequently asked questions as to C Corporations and LLCs. Beyond that you need the advise of a competent attorney familiar with foreign investor involvement:

I am/have started a small company. Currently, it is a sole proprietorship. Soon, I'll go ahead and change it to a LLC/S/C corp. Our e-commerce model is focused on customers outside the US. As such, I work mostly with people outside the US. I have a few people interested in investing and partnering with me from that country.

As such, when I file the papers for the LLC I'd like to have a foreign investment partner/employee. For example, I'd retain 85% equity, and they'd want to give me $150k and be a 15% equity partner. Of course I'd discuss this all with a lawyer, but just curious if anybody could give me a summary introduction to this to help with understanding the process.
